These Terms of Use constitute a legally binding agreement between you and Quad, LLC ("Quad," "we," "us," or "our"), governing your access to and use of our website and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

The Services are intended for users aged 13 and older. If you are under 18, you represent that you have obtained permission from a parent or legal guardian who agrees to be bound by these Terms.
All content, software, trademarks, logos, designs, text, graphics, and other materials available through the Services are owned by or licensed to Quad and are protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes only.
You may be required to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities conducted under your account.

You may submit content including text, data, or other materials ("Contributions"). You retain ownership of your Contributions but grant Quad a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, copy, modify, display, distribute, and create derivative works from such Contributions in connection with the Services. You represent that you own or have the rights to your Contributions and that they do not violate these Terms or any law.
Quad has zero tolerance for objectionable content and abusive behavior. You may not post, send, or share content that is unlawful, harassing, threatening, hateful, defamatory, sexually explicit, or that promotes violence, discrimination, or self-harm, and you may not impersonate others or infringe anyone's rights.
The Services include tools to report objectionable content and to block other users. We review reports and aim to act on them within 24 hours, which may include removing content and suspending or terminating the accounts of users who violate these standards. You can report an event, a club, an assistant reply, or another user from the in-app report control on that item, or email admin@join-quad.com. Block controls are in account settings.
The Services include an assistant powered by a third-party AI provider (OpenAI). Messages you send to the assistant are transmitted to that provider to generate a response. Assistant replies are filtered by a keyword blocklist, a second-pass classifier, and OpenAI omni-moderation before they reach you. Assistant responses may be inaccurate or incomplete and do not constitute professional advice. Do not share sensitive personal information with the assistant. Your use of the assistant is also subject to our Privacy Policy.

We do not guarantee that the Services will be available at all times or without interruption. We may suspend, withdraw, or restrict availability at any time.
We reserve the right to suspend or terminate your access to the Services at any time, without notice, for any reason, including violation of these Terms.
The Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Quad shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, business interruption, or system failure, even if advised of the possibility of such damages.
You agree to indemnify and hold harmless Quad and its affiliates from any claims arising out of your use of the Services or violation of these Terms.
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.
Any dispute shall first be resolved through informal negotiation by contacting admin@join-quad.com.
If unresolved within 30 days, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will occur in New York County, New York.
Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in a class action.
Opt-Out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing admin@join-quad.com.
These Terms constitute the entire agreement between you and Quad. If any provision is found unenforceable, the remaining provisions will remain in effect.
